Welcome to iTiNdetail ("we," "us," or "our"). These Terms & Conditions ("Terms"), including our Payment Terms and Refund & Cancellation Policy, govern your use of our website www.itindetail.com and all digital marketing, SEO, Google Ads, Meta/Facebook Ads, lead generation, branding, and web development services provided by iTiNdetail in Chennai, India.

By engaging our services, making a payment, or browsing our website, you agree to be legally bound by these Terms. Please read them carefully.

1. Scope of Services

iTiNdetail provides specialized digital marketing and web development services, including:

• Search Engine Optimization (SEO): On-page optimization, technical SEO, keyword research, link building, and performance reporting.
• Pay-Per-Click (PPC) & Social Ads: Campaign strategy, creative setup, audience targeting, and management for Google Ads, Meta Ads (Facebook & Instagram), YouTube, and LinkedIn.
• Local SEO & Google Business Profile: Profile optimization, local citation management, and Google Maps ranking strategy.
• Website Development: Design, development, and maintenance of single-page, multi-page, and e-commerce websites.
• Branding & Creative Strategy: Brand identity, logo design, social media creative production, and performance marketing strategy.

2. Payment Terms & Invoicing Policy

All clients must strictly adhere to the following payment terms:

2.1 Accepted Payment Methods

We accept payments via UPI, Credit/Debit Cards, Net Banking, and direct Bank Wire Transfers (NEFT/RTGS/IMPS). All invoices issued by iTiNdetail are in Indian Rupees (INR) or agreed foreign currency (USD) for international clients.

2.2 Invoicing Schedule & Advance Payments

• Monthly Retainer Services (SEO, PPC, Social Media Management): Invoices are issued on a monthly basis. Monthly retainers are payable strictly in advance before the start of each service cycle. Work will commence only upon receipt of payment.
• Project-Based Services (Web Development, Branding, One-Time Campaigns): Projects require an advance deposit (typically 50%) prior to project kickoff, milestone payments during development, and the remaining balance prior to final website deployment or asset delivery.

2.3 Late Payments & Service Suspension

• Invoices not settled within 7 calendar days of the due date will incur a late fee penalty of 1.5% per month on the outstanding balance.
• We reserve the right to pause or suspend active ad campaigns, SEO work, or website hosting/support if invoices remain overdue beyond 7 days. We are not liable for any loss of ad reach, leads, or site traffic resulting from suspension due to non-payment.

2.4 Taxes & Duties

All service quotes and invoices are subject to applicable government taxes, including Goods and Services Tax (GST 18%) under Indian tax laws, unless explicitly stated otherwise.

3. Refund & Cancellation Policy

3.1 Retainer Services (SEO, PPC Management, Social Media)

• Non-Refundable Monthly Retainers: Monthly retainer payments made for SEO, PPC management, or social media management are non-refundable once the monthly service period has commenced.
• Cancellation Notice: Clients may cancel monthly retainer agreements by providing a 15-day written notice via email to care@itindetail.com prior to the start of the next billing cycle.

3.2 Project-Based Web Development & Design

• Advance Deposits: Initial setup deposits are non-refundable once design/development mockups or wireframes have been created and delivered to the client.
• Milestone Payments: Payments made upon client approval of completed project milestones are non-refundable.
• Prorated Cancellation: If a project is cancelled by the client prior to milestone approval, iTiNdetail will calculate the billable hours and work completed to date. Any unearned portion of the advance deposit will be refunded after deducting billable labor.

3.3 Third-Party Ad Spend (Google Ads, Meta/Facebook Ads)

Ad budgets paid directly to third-party ad networks (Google, Meta, LinkedIn) or deposited into client ad accounts are managed directly by those platforms. iTiNdetail does not hold or refund third-party ad spend. Any ad credit refunds must be requested directly from Google or Meta in accordance with their respective advertiser policies.

3.4 Approved Refund Processing Timeline

Any refund approved in writing by iTiNdetail management will be processed within 7 to 10 business days and credited back via the original payment method used during transaction.

4. Client Responsibilities & Materials

To ensure campaign success and timely project delivery, the client agrees to:

• Provide accurate business details, brand assets, images, text content, and required account access (Google Ads, Meta Business Manager, Analytics) in a timely manner.
• Guarantee that all assets provided do not violate third-party copyright, trademark, or privacy rights.
• Review and provide feedback or approvals on deliverables within 3 business days.

5. Intellectual Property & Deliverable Ownership

• Client Ownership: Upon full payment of all invoices, the client receives full ownership rights to final customized website code, graphics, ad creatives, and logos created specifically for the client.
• Agency Retained IP: iTiNdetail retains ownership of pre-existing frameworks, code libraries, proprietary strategies, and internal tools used during service delivery.
• Portfolio Rights: iTiNdetail reserves the right to feature non-confidential project deliverables, website designs, and performance statistics in our portfolio, case studies, and agency marketing materials.

6. Confidentiality & Non-Disclosure (NDA)

Both parties agree to treat all non-public business strategies, financial terms, customer data, and technical specifications disclosed during the partnership as strictly confidential. Confidential information shall not be disclosed to any third party without prior written consent.

7. Advertising Performance & Results Disclaimer

While we apply proven digital marketing strategies to maximize conversions, traffic, and search visibility, digital marketing results depend on external variables outside our control (e.g., search engine algorithm updates, ad platform auction costs, consumer market shifts, client landing page conversion friction). **We do not guarantee specific organic ranking positions or exact lead/sales volumes.**

8. Service Level Agreement (SLA) & Support Hours

Our standard agency business hours are Monday through Friday, 09:00 AM to 06:00 PM IST. Client support requests sent via email or WhatsApp outside business hours will be addressed on the next business day.

9. Limitation of Liability

To the maximum extent permitted by applicable law, iTiNdetail, its founders, employees, and agents shall not be liable for any indirect, incidental, special, or consequential damages (including loss of business profits, data loss, or server downtime) resulting from the use of our services or third-party platform actions.

10. Indemnification

The client agrees to indemnify and hold harmless iTiNdetail against any third-party claims, legal fees, or damages resulting from client-supplied materials, copyright infringement, or failure to comply with advertising laws.

11. Governing Law & Dispute Resolution

These Terms, Payment Terms, and Refund Policy are governed by the laws of India. Any legal disputes or claims arising out of this agreement shall be settled through mutual negotiation, or failing that, referred to binding arbitration in Chennai, Tamil Nadu, India, subject to the exclusive jurisdiction of Chennai courts.
